LLC registration in Georgia

A limited liability company registered in person or remotely by power of attorney.

The limited liability company is the standard vehicle for foreign founders in Georgia: liability limited to the company, no minimum capital, 100% foreign ownership and a foreign director all permitted. We advise on the structure, prepare the charter, act under power of attorney if you are abroad, file with the National Agency of Public Registry and hand over a company ready to operate.

Registering an LLC in Georgia: what to know

Every Georgian LLC is registered by the National Agency of Public Registry. The official fee is 200 GEL for registration in one working day, or 400 GEL for registration on the day of filing; a registry extract costs 20 GEL (75 GEL on the same day), and an English version of the extract adds 26 GEL. These are state fees, paid at cost and kept separate from our professional fee.

Before filing, the company needs a name that is not already registered, a legal address in Georgia with the written consent of its owner, and a charter that sets out the shareholders, their shares and the powers of the director. A foreign company can be a shareholder once its registry extract and founding decision are apostilled and translated into Georgian. After registration the company receives access to the Revenue Service portal (rs.ge), through which it files its declarations, and it must register for VAT, charged at 18%, once taxable turnover exceeds 100,000 GEL in any continuous twelve months.
