Questions founders ask

Frequently asked questions

Can I register a company in Georgia without travelling?

Yes. You sign a power of attorney before a notary in your country and have it apostilled (or legalised where the apostille does not apply). We arrange the certified Georgian translation, file with the Public Registry and send you the registration documents.

Can the director be a foreign national?

Yes. Georgian law sets no nationality or residence requirement for the director or the shareholders of an LLC. A non-resident director may still need a residence basis to stay in Georgia beyond the visa-free period.

Is there a minimum share capital?

No. An LLC can be registered without a minimum capital contribution.

Who is eligible for the 1% small business status?

Only individual entrepreneurs, not companies. The status applies while annual turnover does not exceed 500,000 GEL and the activity is not excluded; activities that require a licence or permit and certain professional services are excluded. We confirm eligibility before you register.

How does the Estonian-model profit tax work?

A Georgian company pays 15% profit tax only when profit is distributed to the owners, and on certain payments treated as distributions. Profit that stays in the company and is reinvested is not taxed.

Can a non-resident open a bank account?

Yes, subject to the bank's own compliance review, which no adviser can guarantee. Some banks onboard companies remotely; individuals are usually asked to attend in person.

Do I need a legal address in Georgia?

Yes. Every company must have a registered legal address in Georgia, with the owner's consent. If you have no premises, we can provide one for twelve months.

How long does it take overall?

Registration itself takes one working day once the documents are ready (same day for a higher fee). With documents signed abroad and a bank account, plan for one to three weeks from start to finish.
