Liquidation and reorganisation in Georgia
Voluntary liquidation, mergers, demergers and conversions.
Orderly closure or restructuring of Georgian companies: the decision, notices to creditors, coordination of the tax clearance with the Revenue Service and the final registry filings.
Closing a Georgian company: the sequence
A voluntary liquidation starts with the shareholders' decision. Creditors are notified and given time to claim, the company's debts are settled, and the Revenue Service must clear the company before the National Agency of Public Registry deregisters it. The official registry fee for a winding-up or termination is the same as for other company filings: 200 GEL in one working day, or 400 GEL on the day of filing.
If the company cannot pay its debts in full, the insolvency route applies instead, so we review the financial position before you begin. Reorganisations go through the same registry: a merger, a demerger or a conversion into another legal form is prepared by decisions and documents of the companies involved and registered with the Public Registry. A company that is simply left dormant keeps its filing obligations, which is why owners leaving Georgia usually close it properly.

Questions about this service
Can a company with debts be liquidated?
Debts must be settled in the liquidation, or the insolvency route applies; we advise on the correct path before you start.

Creditors must be given time to claim and the Revenue Service must clear the company before it is deregistered.
Can a company simply be left dormant?
A dormant company keeps its filing obligations; liquidation ends them cleanly.
