Corporate governance and secretarial in Georgia
Charter amendments, shareholder agreements, changes of director, capital and shares, and annual compliance.
We keep your company's corporate record in order: decisions and resolutions, registered changes, shareholder agreements, beneficial ownership disclosures where required, and an annual compliance calendar so nothing falls due unnoticed.
Registered changes: what the registry needs
Changes of a Georgian company's director, shareholders, capital or charter are filed with the National Agency of Public Registry. The official fee for a change is the same as for a registration: 200 GEL in one working day, or 400 GEL on the day of filing; an updated registry extract costs 20 GEL (75 GEL on the same day).
Each change starts with a decision of the competent body, usually the shareholders, drafted in Georgian and, where needed, in English. A signatory who is abroad can sign under an apostilled power of attorney, or with a qualified electronic signature where the registry accepts it. With more than one shareholder, a shareholder agreement settles control, exits, deadlock and share transfers in advance. The secretarial plan adds a compliance calendar, so registry and tax deadlines are tracked through the year instead of being discovered late.
