JSC and holding structures in Georgia

Joint stock companies and multi-tier holding structures.

For investment vehicles, groups and businesses planning to raise capital, we design and register joint stock companies and holding structures, with governance documents and arrangements for the share register.

JSC or LLC for a holding structure

Georgian law recognises several forms of enterprise, among them the joint stock company (JSC), the limited liability company (LLC), the general and the limited partnership and the cooperative. A JSC is registered with the National Agency of Public Registry for the same official fee as an LLC: 200 GEL in one working day, or 400 GEL on the day of filing.

For most groups an LLC is the simpler holding company: it needs no minimum capital, can hold shares in other companies and is easier to run. A JSC becomes the better tool when you need several classes of shares, a broad or changing shareholder base, or a route to raising capital, and it needs governance documents and share register arrangements from the start. Because a Georgian company pays 15% profit tax only when profit is distributed, where profit is retained and reinvested within a group matters; we review the tax effect of each option in the structuring memorandum before anything is registered.

Questions about this service

When is a JSC the right choice?

When you need several classes of shares, a broad shareholder base or plan to raise capital. For most businesses an LLC is sufficient and simpler to run.

Can a Georgian LLC hold shares in other companies?

Yes. LLCs are commonly used as holding companies; the choice between LLC and JSC turns on governance and investor needs.

Why is this service quoted?

The work depends on the structure, the number of entities and the investors involved, so we quote a fixed fee after the assessment.
