Branch or representative office in Georgia
Registration of a foreign company's branch or representative office in Georgia.
A branch lets a foreign company operate in Georgia without forming a separate legal entity; the parent remains liable for its obligations. We compare the branch with a subsidiary for your purposes, review the parent's corporate documents, coordinate apostille and translation, and register the branch and its head.
Branch or subsidiary: the practical differences
A branch is registered with the National Agency of Public Registry for the same official fee as a company: 200 GEL in one working day, or 400 GEL on the day of filing. Because the branch is not a separate legal entity, the registry relies on the parent's documents: its current registry extract, its charter and the decision to open the branch, each apostilled or legalised and translated into Georgian, together with the appointment of the head of the branch.
The choice between a branch and a subsidiary LLC turns mostly on liability and paperwork. A subsidiary limits the parent's exposure to what it puts into the Georgian company and is usually simpler with banks and local counterparties; a branch keeps contracts, assets and liabilities within the parent, and the profit attributable to it is taxed in Georgia as that of a permanent establishment. A representative office suits a company that wants only a non-commercial presence; whether that classification fits your plans is decided case by case.

Questions about this service
Branch or subsidiary?
A subsidiary LLC limits liability to the Georgian company and is usually simpler with banks and counterparties; a branch keeps everything within the parent. We advise case by case.
How is a branch taxed?
Profit attributable to the branch is taxed in Georgia as that of a permanent establishment. We coordinate with the parent's tax advisers on the treatment at home.
Must the head of the branch live in Georgia?
No residence requirement applies to the appointment itself, although residence and the right to work matter if that person will work in Georgia.
