Registering a company in Georgia remotely
Power of attorney, apostille, translation and filing: the practical sequence for founders who cannot travel.
Published · 6 min read

Is it possible?
Yes. Georgian law allows a company to be registered through a representative acting under a power of attorney. The founder signs once, abroad; the representative does the rest in Tbilisi. The same applies to an individual entrepreneur.
Step 1: structure and documents
The first decisions are the legal form, the shareholders and their shares, the director, the company name and the legal address. We then prepare the charter, the founding decision and the power of attorney. The power of attorney is drafted in two languages and lists precisely what the representative may do: register the company, receive documents, set up the tax portal and, if agreed, act with banks.
Step 2: signature, apostille or legalisation
The founder signs the power of attorney before a notary in their country. If that country is party to the Hague Apostille Convention, the competent authority adds an apostille; otherwise the document is legalised by the Georgian consulate. A corporate founder also needs a recent extract from its home registry and the decision of its competent body, certified in the same way.
Step 3: courier and translation
The originals travel to Tbilisi by courier. There they are translated into Georgian and the translations certified by a Georgian notary. Names must be spelled exactly as in the passports throughout; a mismatch between documents is the most common cause of delay.
Step 4: filing and registration
The representative files with the National Agency of Public Registry. The company is registered in one working day for the standard fee of 200 GEL, or on the same day for 400 GEL. The registry extract is issued at once, and an English version is available.
Step 5: after registration
The company receives access to the Revenue Service portal, through which it will file its declarations. A bank account is the next step: some banks open company accounts remotely for suitable profiles, while others ask the director to attend. Plan for one to three weeks from the first call to an operating company, most of it spent on signature, apostille and courier.
